1. Introduction

Welcome to the HancoCyber Ambassador Programme (“the Programme”). By signing up, you (“Ambassador”) agree to comply with these terms and conditions. Please read them carefully before accepting.

2. Term and Termination

• The Programme is valid for a one-year term from the date of sign-up.
• If a new client referred by the Ambassador signs a sales contract with HancoCyber during the term, the agreement will automatically extend for one year from the latest client contract.
• Either party may terminate participation with 30 days’ written notice. Upon termination:
  • By the Ambassador: Previously earned commissions will be paid; however, no future commissions will be earned.
  • By HancoCyber: The Ambassador will continue receiving applicable commissions for any valid client referrals made during the term.

3. Ambassador Responsibilities

• Accurately describe and promote HancoCyber’s services based on provided materials, including the website, promotional content, and in-person or online training.
• Avoid offering unauthorized services, pricing, or guarantees.
• Comply with all applicable laws and refrain from damaging HancoCyber’s reputation.

4. Company Responsibilities

• Provide up-to-date materials and training to support promotional activities.
• Ensure all information shared with Ambassadors aligns with available services and pricing.
• Offer ongoing assistance for the Ambassador’s promotional efforts.

5. Compensation

• Initial Reward: 10% of the first month’s invoice for each referred client.
• Ongoing Reward: 1% of monthly invoices for the next 11 months (a total of 12 months from the first payment).
• Payments will be issued within 30 days of HancoCyber receiving payment from the referred client.

6. Taxes and Documentation

• Payments are subject to applicable Romanian tax laws.
• HancoCyber will deduct and remit required taxes, including:
  • 10% Income Tax
  • Social Security Contributions (if applicable).
• The Ambassador is responsible for any additional tax obligations. Payment statements will be issued for transparency.

7. Nature of the Relationship

• Ambassadors operate independently and are not employees of HancoCyber. No employment-related benefits apply.

8. Intellectual Property

• Any materials provided by HancoCyber remain its property and must not be reproduced without permission.
• HancoCyber retains the right to use content created by the Ambassador for marketing purposes.

9. Termination and Compliance

• Ambassadors agree to indemnify HancoCyber against penalties arising from failure to meet tax or legal obligations.
• Disputes will be governed by Romanian law and resolved in Bucharest courts.

10. Modifications

HancoCyber may update these terms, with changes communicated via email or on the Programme webpage.

11. Contract Supercedes

These terms shall be wholly superceded when an Ambassador Programme Contract (“Contract”) is signed by both parties.  The text of the Contract shall supercede and prevail where clarification of terms is required or sought, or where conflict arises.
